1. Agreement to Terms

This Terms and Conditions agreement ("Agreement") constitutes a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Avelt Programs LLC ("we," "us," or "our"), concerning your access to and use of the www.aveltprograms.com website as well as the certification platform avelt-test.com, and any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).

You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Site and you must discontinue use immediately.

2. Intellectual Property Rights

Unless otherwise indicated, the Site, including all proprietary source code, databases, functionality, software, website designs, audio, video, text, examination questions, test modules, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

The Content and the Marks are provided on the Site “AS IS” for your information and personal use only. Except as expressly provided in these Terms and Conditions, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

3. User Registration

You may be required to register with the Site. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

If you are a primary account holder with a subscription that allows for sub-users (such as teachers or institution administrators), you are responsible for the actions of all users registered under your account. Sub-users are bound by these same terms and conditions, but their access to account management features like billing and user administration may be limited.

4. Subscriptions, Payments, and Renewal

Certain features of the Site require you to purchase a subscription. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site. All payments shall be in U.S. dollars.

• Billing Cycle: Subscription fees are billed on a recurring basis (either monthly or yearly) to the payment method you provide. You authorize us to charge your chosen payment method for your subscription plan, plus any applicable taxes.
• Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel it through your account settings prior to the renewal date. We are not responsible for any fees charged by your financial institution.
• Cancellations & Refund Policy: You can cancel your subscription at any time through your account settings. The cancellation will take effect at the end of your current paid term. All purchases are final and non-refundable. We do not provide refunds or credits for any partial or complete subscription periods, early cancellations, or unused services.

5. Certifications and Testing Integrity (Avelt Test)

Through our platform at avelt-test.com, we provide formal assessment, testing, and credentialing services ("Certifications"). To maintain the value and validity of our credentials, all users agree to strict academic and testing integrity standards:

• Prohibition of Academic Dishonesty: When taking any exam, test, or quiz, you must complete the assessment entirely by yourself. The use of unauthorized external assistance, including but not limited to automated bots, Artificial Intelligence (AI) tools, proxy test-takers, shared answer keys, or external browser extensions, is strictly prohibited.
• Plagiarism and Question Distribution: All examination questions, prompts, and scenarios are the exclusive intellectual property of Avelt Programs LLC. Copying, capturing, screenshotting, downloading, or distributing test questions anywhere on the internet or with third parties constitutes a material breach of copyright and this Agreement.
• Revocation of Credentials: We reserve the absolute right to audit testing sessions, exam logs, and metadata. If fraud, identity misrepresentation, or cheating is detected, Avelt Programs LLC reserves the right to immediately invalidate test results, revoke any issued certificates, and notify relevant institutional account holders without prior notice. No refunds will be provided for invalidated tests.

6. Referral and Affiliate Programs

Avelt Programs LLC offers referral and affiliate programs that allow users to earn rewards. The specific terms, conditions, and rewards for these programs are outlined on the official program pages of the Site. We reserve the right to modify, suspend, or terminate these programs, or your participation in them, at any time for any reason, including suspicion of fraudulent activity.

Rewards are contingent upon the referred user or subscriber meeting all stated requirements, including but not limited to purchasing a qualifying subscription plan. We are not responsible for any taxes or financial fees associated with rewards earned.

7. Google Calendar Integration

Our service allows you to integrate your Google Calendar account ("Google Services") to synchronize your class schedule. By using this feature, you explicitly grant Avelt Programs LLC permission to access, read, and write data to your Google Calendar.

• Scope of Usage: This integration is used strictly for: (1) Exporting classes created within Avelt Programs LLC to your personal Google Calendar to prevent missed appointments; and (2) Importing or reading events from your Google Calendar to display them within your Avelt dashboard to help identify scheduling conflicts.
• Limited Use Policy: Avelt Programs LLC's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. We do not use your Google Calendar data for advertising purposes, and we do not share this data with third parties except as necessary to provide the scheduling feature itself.
• Revocation: You may disconnect your Google Calendar at any time via your account settings or via Google's security settings. Upon disconnection, we will cease to access your Google account, though data already synced to our database may remain until manually deleted.

8. User-Generated Contributions & Conduct

The Site provides areas for you to contribute to a social feed, including posts, comments, and other content ("Contributions"). You are solely responsible for your Contributions and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.

As a contributor to the Site, you agree that your Contributions will not contain any material that is illegal, obscene, defamatory, threatening, pornographic, or harassing. Specifically, the posting of any sexually explicit material, including but not limited to pornographic images or videos, is strictly prohibited. You also agree not to use profanity, hate speech, or any language that could be deemed offensive, abusive, or discriminatory by other users.

Violation of these content and conduct policies is a serious breach of this Agreement. We reserve the right, in our sole discretion, to remove any content we deem inappropriate and to suspend or permanently terminate your account without prior notice. If your account is suspended or terminated for such violations, you will not be eligible for any refund of subscription fees, credits, or other payments, regardless of your current subscription status.

9. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. As a user of the Site, you agree not to:

• Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
• Use the Site to advertise or offer to sell goods and services.
• Engage in unauthorized framing of or linking to the Site.
• Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Site to you.
• Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material that interferes with any party’s uninterrupted use and enjoyment of the Site.
• Use any information obtained from the Site in order to harass, abuse, or harm another person.
• Use the Site in a manner inconsistent with any applicable laws or regulations.

10. Term and Termination

These Terms and Conditions shall remain in full force and effect while you use the Site. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS AND CONDITIONS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS AND CONDITIONS OR OF ANY APPLICABLE LAW OR REGULATION.

If your account is terminated for a breach of this Agreement, including the integrity and conduct policies outlined in Sections 5, 7, and 8, you forfeit any and all fees paid for your subscription, and you will not be entitled to a refund.

11. Governing Law

These Terms and Conditions and your use of the Site are governed by and construed in accordance with the laws of the State of California applicable to agreements made and to be entirely performed within the State of California, without regard to its conflict of law principles.
